ABOUT OUR GENERAL ASSEMBLY AND THE BOARD
The ActionAid Sierra Leone General Assembly and Board form the governance body of the organization in Sierra Leone, serving as stewards of its resources and responsible for oversight of strategy, operations, and financial management. The service of both General Assembly and the Board of Directors is PURELY VOLUNTARY. The General Assembly/Directors work closely with the Executive Director and the Senior Leadership Team of AASL to achieve its goals.
Below are the responsibilities of the General Assembly and the Board
The General Assembly:-
To appoint or dismiss any person to or from the office of the Board or membership of the Organization in accordance with the Memorandum and Articles of Association.
To receive, deliberate upon, and adopt all annual reports, financial statements and performance reports from the Board.
To receive, deliberate upon, and approve all proposed amendments of these Articles of Association.
To receive and deliberate upon all macro policy issues proposed by the Board affecting the general running of the Organization
To approve the dissolution of the Organization in consultation with ActionAid International.
To approve the appointment of the Auditor on the recommendation of the Board.
The Board:-
Provide strategic direction
- Providing support to the Executive Director and Senior Leadership Team in determining and upholding the values, vision, mission, identity and standards of the organization in line with those of ActionAid International.
- Reviewing, contributing to, and approving the strategic direction of the Affiliate ProgrammeReview compliance to agreements with AAI and national statutory regulatory bodies
Review governance standards, including Board reviews, Board assessments, review of governance manual, etc
Safeguard interests of the beneficiaries; To ensure that the Organization is always accountable to right holders, the public, our donors, government and supporters.
Support to the Executive Director of AASL
Representation Role at national and international level of governance processes
Oversight of the Organization’s risk assessment and management.
TIME COMMITMENT
The General Assembly Members are expected to attend at least one meeting (the Annual General Meeting) of the organization or an Extraordinary meeting of the General Assembly. Board members are currently expected to attend up to four Board meetings and Board subcommittee meetings annually. Meetings currently take place on Saturdays at ActionAid’s Head Office in Freetown, and will usually take up to four hours. Board members may also, on occasion, be expected to contribute time in between meetings, including for example working as part of sub-committees or representing the organizations.
WHO ARE WE LOOKING FOR
We are looking for committed individuals, professionals with good interpersonal skills and a passion for community development, fighting for social justice and gender equality, and the eradication of poverty in Sierra Leone. We are looking for someone who demonstrates personal qualities consistent with the values of ActionAid. As well as bringing the important skills and competencies needed to carry out the General Assembly and the Board’s responsibilities, you will be prepared to dedicate time, effort, and passion to seeing AASL achieve its strategic programming priorities. You will have excellent knowledge and professional experience of working in Sierra Leone with the ability to provide access to useful networks for AASL within the civil society space, international partners, donors, government, academia, or the private sector.
We are particularly interested in receiving applications from candidates, especially Young People, with experience or expertise in one or more of the following areas: -
• Civil society Activism, Movement Building, Policy, Advocacy and Campaigns on Women’s Rights, Climate Justice, Inclusive Education, Accountable Governance and other public interest issues
• Media, Communications, public relations
• Fundraising and Donor Engagement
• Legal, People and Human Resources
• Safeguarding, Feminism and Feminist Leadership
